1. Services

Zayvro provides an AI workspace platform and related business software services. Features, availability, and pricing may change over time. Any pilot, demo, or early access program is provided at our discretion and may be modified or discontinued.

2. Eligibility

You must be at least 18 years old and have authority to bind yourself or the organization you represent. If you use the Services on behalf of a company, you represent that you have authority to accept these Terms on its behalf.

3. Accounts and access

If we provide you with account credentials or workspace access, you are responsible for maintaining the confidentiality of those credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to:

• Use the Services in violation of applicable law or regulation
• Attempt to gain unauthorized access to our systems or data
• Interfere with or disrupt the integrity or performance of the Services
• Upload malicious code or use the Services to harm others
• Misrepresent your identity or affiliation
• Use the Services to process unlawful, infringing, or highly sensitive personal data without appropriate legal basis and safeguards

5. Customer data

If you submit company data, prompts, files, or other content through the Services ("Customer Data"), you retain ownership of Customer Data. You grant Zayvro a limited license to host, process, and use Customer Data solely to provide, secure, and improve the Services as permitted by your agreement with us and applicable law.

6. Intellectual property

Zayvro and its licensors own all rights in the Services, including software, branding, documentation, and website content, except for Customer Data and third-party materials. You may not copy, modify, distribute, sell, or reverse engineer any part of the Services except as expressly permitted in writing.

7. Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the Services, except as required by law.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated outputs may be inaccurate or incomplete. You are responsible for reviewing outputs and for decisions made based on them.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAYVRO SOLUTIONS INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO ZAYVRO FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will defend, indemnify, and hold harmless Zayvro Solutions Inc. and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

11. Suspension and termination

We may suspend or terminate access to the Services if you violate these Terms, create risk for us or other users, or as required by law. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where mandatory local law applies. Courts located in Delaware will have exclusive jurisdiction over disputes arising out of these Terms, unless applicable law requires otherwise.

13. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
